Proposed Entity -- Not Yet Incorporated

About CaribVista Land Trust

A proposed non-profit land trust dedicated to converting idle Caribbean farmland into productive agriculture that feeds families for free. Powered by satellite intelligence from IAGRO SAT Caribbean.

THE NAME
Carib = Caribbean
Vision for Island Self-sufficiency Through Agriculture
No family in the Caribbean should go hungry.

Structure

Two Entities. One Mission.

CaribVista operates as a brother-sister model: two independent entities with a common founder, transacting at arm's length. This separates the social mission from the technology business while keeping them aligned.

Non-Profit (Proposed)

CaribVista Land Trust

The operational entity that directly touches land, farmers, and food. Its sole purpose is food production and free distribution to families in need.

Leases idle government land (e.g., BADMC in Barbados)
Recruits, trains, and employs local farmers
Manages crop production (70% food, 30% export)
Operates parish-level free food distribution
Coordinates inter-island food network
Registers and manages carbon credit projects
Revenue sources:Export crop sales, carbon credits, government grants
For-Profit

IAGRO SAT Caribbean

The technology company that provides satellite monitoring and ML intelligence. Serves CaribVista and other clients (banks, governments, cooperatives).

ORIGIN: BRAZIL

IAGRO SAT was originally developed for Brazilian agriculture β€” monitoring 18M+ CAR-registered properties across 850M hectares. The Caribbean arm launched first because the idle land crisis demanded urgent action. Brazil is a non-borrowing member of the CDB with Board voting rights, creating a natural South-South technology transfer bridge.

iagrosat.com β€” Registered in Brazil
Sentinel-2 optical + Sentinel-1 SAR processing
8 ML models: crop classification, stress, yield, carbon
Hurricane damage assessment (48h response)
NDVI crop health monitoring at 10m resolution
ESA WorldCover land classification analysis
Carbon MRV (IPCC-compliant stock estimation)
Revenue sources:SaaS subscriptions, API access, consulting

Arm's Length Relationship

CaribVista Land Trust contracts IAGRO SAT Caribbean for satellite monitoring services at market rates. The founder participates in both entities but recuses from pricing decisions. All transactions are documented, audited, and subject to board approval from independent directors.

Real-World Precedents

The brother-sister non-profit/for-profit model is well-established and has been validated at scale across multiple industries:

Mozilla Foundation / Corporation

Non-profit stewards the mission; for-profit builds Firefox and generates revenue.

Patagonia / Holdfast Collective

For-profit outdoor brand transferred ownership to non-profit environmental trust.

Hospital Systems (US)

Non-profit hospitals contract for-profit physician groups and service companies.

Grameen Bank Model

Non-profit microfinance institutions with for-profit technology and service arms.

Governance

Independent Board. Full Transparency.

Trust demands accountability. CaribVista's governance structure ensures no single individual controls the organisation, and every financial decision is subject to independent oversight.

7-Seat Board of Directors

Minimum 5 of 7 directors must be independent -- no employment, financial, or family relationship with the founder or IAGRO SAT Caribbean.

Conflict of Interest Safeguards

Structural protections to prevent self-dealing and ensure the non-profit mission is never compromised for for-profit benefit.

Written conflict of interest policy
Founder recusal on all related-party votes
Market-rate benchmarking for IAGRO SAT contracts
Annual disclosure of all entity relationships
Whistleblower protection policy

Audit and Reporting

Full financial transparency with multiple layers of independent oversight to maintain donor and partner confidence.

Annual independent financial audit
Quarterly board meetings with published minutes
CDB right-of-review on all financials
Public annual impact report
Charity Commission regulatory compliance

Technology

Powered by IAGRO SAT

Satellite-based agricultural intelligence built specifically for Caribbean conditions. Every decision at CaribVista is informed by real data from orbit.

Sentinel-2 Optical Imagery

10mResolution

12-band multispectral imagery from ESA Copernicus, processed into 20 spectral indices. 5-day revisit cycle provides continuous monitoring of crop health, land use change, and vegetation stress.

ESA WorldCover Classification

11Land Classes

Global land cover map at 10m resolution used for the idle land census. Distinguishes cropland, grassland, shrubland, forest, urban, and water -- the foundation of CaribVista's parcel identification.

NDVI Crop Health Monitoring

MonthlyFrequency

Normalized Difference Vegetation Index tracks photosynthetic activity across every managed parcel. Automated stress alerts trigger intervention before crop loss occurs. Historical baselines from 108-month archive.

Hurricane Damage Assessment

48hResponse

Siamese neural network compares pre/post Sentinel-1 SAR imagery to produce pixel-level damage maps. Cloud-penetrating radar works during storm conditions when optical satellites are blinded.

Additional Intelligence Capabilities

Carbon MRV

IPCC-compliant carbon stock estimation. VCS VM0017 methodology. 4 carbon pools (AGB, BGB, SOC, CO2e).

Crop Classification

12 Caribbean crop types identified by multi-temporal CNN with SAR fusion and attention mechanism.

Yield Forecasting

LSTM with temporal attention over 12-month spectral time series. Uncertainty quantification for planning.

Anomaly Detection

Autoencoder + LSTM ensemble with seasonal baselines. Detects spectral, temporal, and extreme events.
